Annual accounts

Import a company from an RCS extract

Create a company in Spyral by importing its RCS extract, and what Spyral reads from it.

Companies are not created by typing them in. You import the RCS extract (extrait RCS) and Spyral builds the company record from it, including the managers who will later sign the board resolution.

Where annual accounts live

The annual accounts workspace is a tab on the company, not a separate section in the sidebar. There is no top level Annual Accounts entry. You reach the work by opening the company and choosing its Finance tab.

This catches out almost everyone on their first day, so it is worth saying plainly: start from Companies.

Importing

  1. Go to Companies.
  2. Choose Import RCS Extrait, or open a company you already have and use the Finance tab.
  3. Select the PDF and choose the financial year.

The file must be a PDF and no larger than 10 MB. Spyral checks the file really is a PDF rather than trusting its name.

If the PDF has no text layer, which is normal for a scanned or photographed extract, Spyral falls back to reading it with OCR. This takes longer than a native PDF but produces the same result.

What Spyral reads from the extract

  • Legal name, legal form and RCS number
  • Registered office
  • Share capital
  • Financial year end
  • Managers and their roles
  • Shareholders recorded in the extract
  • Incorporation date, NACE code, corporate purpose and duration where present

Once the import finishes, the company's Overview tab shows an RCS Record card with all of it.

Re-importing updates in place

Importing the same RCS number a second time updates the existing company rather than creating a duplicate. This is how you refresh a company after a change is registered: import the newer extract and the record moves forward. The RCS Extract Timeline on the Overview tab marks the current extract and supersedes the older ones.

Note

If the extract contains a managers section but Spyral cannot parse any individual managers from it, the managers already on file are kept rather than wiped, and you get a warning on that file. Check the Managers and Directors card and correct it by hand if needed.

A cycle is created for you

Importing also starts an annual accounts cycle for the financial year you chose, if one does not exist yet.

Careful

The cycle it creates assumes a calendar financial year, running 1 January to 31 December, even when the extract says otherwise. If the company has a 30 June year end, the cycle will still be created as January to December until you correct it.

Where the company appears afterwards

The company shows up under Companies with its legal name, RCS number, legal form, number of managers, the date of its last RCS update, and its status. A company with no extract on file yet is badged No RCS extract.

Companies are also created automatically when you upload an RCS extract to the library and it is classified. Either route ends up in the same place.
