Annual accounts
Download the filing package and file
Download the signed board and shareholder resolutions as one package, and understand what Ready for LBR does and does not mean.
When both resolutions have been signed, the cycle's button turns green and reads Filing Package. That is the last step Spyral takes part in.
What you get
Choosing Filing Package downloads a single ZIP file. Inside is one folder holding the two signed PDFs:
- the signed Board of Managers resolution
- the signed Shareholder resolution
The ZIP and the folder inside it are both named after the company and the financial year, so packages from different clients and different years do not collide in your downloads folder.
Spyral also keeps a copy of the package. You can come back to the cycle later and download the same file again.
Downloading the package is what marks the cycle Filed.
There is no separate "mark as filed" button anywhere in Spyral, and no confirmation step. The moment the download starts, the cycle moves to Filed, the row loses its buttons, and it stops appearing as In Progress or Overdue.
This catches people out in both directions. If you download the package to look at it, the cycle is recorded as filed whether or not you have filed anything. If you file with the LBR without downloading the package from Spyral, the cycle stays open and keeps sending deadline reminders.
If a cycle was marked filed by mistake, contact us.
Ready for LBR does not mean Spyral filed it
Once the cycle is Filed, its row shows a tick and the words Ready for LBR.
Spyral never submits anything to the LBR or the RCS.
Ready for LBR means the package is complete and it is now your firm's turn. You file the documents yourself through the Luxembourg Business Registers, at lbr.lu. Spyral has no connection to the register, sends nothing to it, and receives no confirmation back from it.
The same is true of eCDF. Spyral produces the filing file. Submitting it is a separate action you take on the eCDF platform. See Export the eCDF file and fix rejections.
Nothing in Spyral tells you whether a filing was accepted, when it was accepted, or whether it satisfies the obligation. What is filed, when, and by whom remains your firm's responsibility, and the rules are published on guichet.public.lu.
If the download is refused
The package can only be built when the cycle is at Shareholder resolution signed or already Filed, and when both signed documents are present.
If the button is not there yet, one of the resolutions is still outstanding. Open the signature panel on the row to see who has not signed. See Track signatures.
What changes once a cycle is Filed
- The row shows Ready for LBR and offers no further actions.
- Deadline reminders for that cycle stop.
- The cycle no longer counts as Overdue, even if the deadline has passed.
- It counts towards the Filed tile on the company's Finance tab.
Filing something else alongside it
The package contains the two approval resolutions and nothing else. The annual accounts themselves, the eCDF file and anything else the filing requires are separate.
- Historical accounts you have already filed live under the company through Import historical accounts.
- The eCDF filing file is produced from the company's ledger. See Export the eCDF file and fix rejections.
Deadlines and reminders
How Spyral calculates the filing deadline for an annual accounts cycle, where deadlines appear, and when reminder emails go out.
Import historical accounts
Bulk import annual accounts you have already filed, so prior year figures are on file for comparison, and what the import quietly skips.
